These Terms apply to this website at www.papersdirect.co.uk (the “Website”) and the entire content of and information displayed on the Website (“Content”) and to all orders placed by telephone.

The use and access of this Website is subject to the terms and conditions set out below (“Terms”). Please read, understand and agree to these Terms before using or accessing the Website.

By using or accessing the Website or any part thereof you agree to be bound by the Terms and, for the avoidance of doubt, by clicking the “Order” button you are confirming that you have read, understand and agree to all of the Terms.

USE OF THE WEBSITE AND CONTENT

Papersdirect maintains the Website for information purposes and to enable the online purchase and payment for newspapers. Please feel free to browse the Website. You may download Content on the Website for non-commercial, personal use only provided you also retain all copyright and other proprietary notices contained on the Website and/or Content. You may not, however, distribute, modify, transmit, re-use, re-post, or use any or all of the Content for public or commercial purposes without the prior written permission of Native Flowers.

Any unauthorised downloading, re-transmission or other copying or modification of any of the Content may be in breach of statutory or common law rights which could be the subject of legal action.

Papersdirect disclaims all liability which may result from any unauthorised reproduction or use of the Content.

Changes will be periodically made to the Content and/or the Website without notice.

The Content displayed on the Website including any information regarding the price or availability of products and/or services available via any third party website is believed to be reliable when displayed but papersdirect can not guarantee that such Content will be accurate, complete and current at all times.

The Website and/or the Content must not be accessed, monitored or copied by any manual process or by any robot, spider or other automated device.

You agree that Papersdirect in its sole discretion, may terminate your ability to use the Website, for any reason whatsoever, including, without limitation, for infringing these Terms. You agree that any termination of access to the Website may be immediate and without prior written notice.

All rights not expressly granted in these Terms are reserved by Papersdirect.

AVAILABILITY AND ORDERING

Papersdirect guarantee to deliver your newspapers order by 8am latest Monday to Friday and by 9am on Saturdays, Sundays and Public Holiday.  You must inform Papersdirect by telephone or email if your newspapers are late and we will refund the delivery charge for that day. Please contact us after the "Latest" delivery time

 

In the event that Native Flowers is unable to fulfil your order due to the unavailability, and no alternative can be offered, Native Flowers will promptly refund any payment which you have made by debit/credit/switch card to your relevant debit/credit/switch card in any event within 30 days.

Your order will be processed once you have completed the order form and Native Flowers has received your payment details in full and payment has been authorised.

The submission of your order constitutes an offer which is always subject to Native Flowers’ acceptance of your offer. Native Flowers will send you a confirmation e-mail upon receipt of your order which will detail your order including the product, price, recipient’s address and delivery date. You should ensure that the information contained in the confirmation e-mail is correct. The confirmation e-mail does not constitute an acceptance of your order as your order is subject to availability of and Native Flowers’ ability to deliver the selected bouquet/display/arrangement. In addition, the confirmation e-mail does not constitute an acceptance of your order where the relevant bouquet/display/arrangement has been inadvertently mispriced on the Website by Native Flowers or any other party on its behalf.

Native Flowers cannot accept orders from customers under the age of eighteen (18) years. All orders must be submitted by the person named on the credit/debit/switch card in relation to which payment is made for any order.

PRICES

The prices quoted on the Website are in Pounds (£) Sterling and are fully inclusive of VAT.  Newspapers and their delivery charge are zero rated for VAT

The price of any display/bouquet/arrangement is separate from the cost of delivery which is charged in addition to the price of any display/bouquet/arrangement except where an order is placed for “Frequent Flowers” where the cost of delivery is included in the cost of the order.

All prices listed on the Website are valid for fourteen (14) days from the date that your order is submitted.

PAYMENT

Payment can be made by most major credit and debit cards including Mastercard, Visa, Switch, Solo and Delta. Your credit card details will be encrypted prior to transmission.

Papersdirect use the Paypoint/Secpay service for taking online payments. Paypoint contact details regarding the internet payment solution may be viewed at www.paypoint.co.uk

DELIVERY

Native Flowers will deliver to postal addresses only anywhere within mainland Great Britain (which excludes Northern Ireland, Isle of Man, the Channel Islands, Isle of Wight, and the Scottish Isles).

Orders placed before 12.00 noon will be delivered by 5.00pm the following day (excluding Saturdays, Sundays, Mondays and Bank Holidays) (“Standard Service”). Orders placed for Saturdays, Sundays, Mondays or Bank Holidays will be delivered the next working day.

A delivery charge of £6.50 for the Standard Service will apply. Delivery other than by the Standard Service will be by arrangement only.

Native Flowers’ normal method of delivery will be by a courier nominated or operated by Native Flowers.

Please ensure that the personal details which you input in your order form are correct as errors may lead to problems (including failure to deliver) or delays in delivery.

For the Standard Service Native Flowers will use its reasonable endeavours to ensure next day delivery (excluding Saturdays, Sundays, Mondays and Bank Holidays) by 5.00 pm within mainland Great Britain subject to the following:

• a delivery is defined as actual delivery or an attempt at actual delivery by Native Flowers (or its courier). Native Flowers do not accept liability for delay in the event that there is no one to receive the order at the delivery address.

• your order must be placed before 12.00 noon for next day delivery.

• all deliveries will be made between 9.00 am and 5.00 pm on the delivery date. In the event that Native Flowers are unable to deliver your order within the time specified you or the recipient of the delivery will be contacted and, with your or the recipient’s agreement, another time for delivery will be arranged.

Should Native Flowers receive your order for next day delivery after 12.00 noon the order will be treated as having been placed prior to 12.00 noon the following day respectively (excluding Saturdays, Sundays, Mondays and Bank Holidays.)

Native Flowers will provide delivery at specific times for funerals and weddings only. Please contact Native Flowers for details as these orders can only be placed by visiting Native Flowers’ shop or telephoning Native Flowers. Whilst every effort will be made to ensure your order is delivered prior to the selected time, no guarantee for delivery by the time specified can be given. To assist Native Flowers in meeting your preference, please ensure your order is placed at least five days prior to the preferred delivery time for funerals and at least two weeks prior to the preferred delivery time for weddings.

Native Flowers guarantee to supply high quality flowers. Care instructions are included with each delivery (except funerals). In the unlikely event that your bouquet/display/arrangement is damaged or is substantially different from that ordered or is otherwise unsatisfactory when you receive it please retain the bouquet/display/arrangement and contact Native Flowers within 24 hours of receipt of the allegedly damaged or incorrect order. Native Flowers will not accept liability for any claim of damage to an order or delivery of any incorrect order or unsatisfactory order if you do not advise Native Flowers of the complaint within this time period. Any claim/complaint will be dealt with as expeditiously as possible following contact and the collation of all necessary information by Native Flowers. If Native Flowers accept that a delivery is incorrect, unsatisfactory or damaged it will either provided (1) a replacement bouquet/display /arrangement or (2) a full refund of the price paid at its discretion.

The Website may be viewed internationally and orders can be placed from outwith mainland UK but for the avoidance of doubt no display/bouquet/arrangement can (at this time) be delivered outwith mainland UK unless special arrangements are made directly with Native Flowers.

Please Note: The delivery terms stated above may not apply during peak seasonal periods and delivery prices may be increased. If you are unsure about delivery details, or require further details of peak seasonal periods please contact Native Flowers directly on 0141 341 0101.

The following are Native Flowers’ general provisions for care of a bouquet/display/arrangement upon delivery and which may be amended by Native Flowers from time to time:

1 Remove cellophane packaging but do not untie the bouquet/display/arrangement;

2 Wash the gel off the stems and re-cut the ends of each stem;

3 Remove any leaves which may be below the water level before placing bouquet/display/arrangement in fresh clean water;

4 Add flower food to the water following the instructions on the sachet of flower food which should be attached to the bouquet/display/arrangement;

5 Keep bouquet/display/arrangement in a cool draught free area out of direct sunlight; away from ripening fruit and away from any heat all of which will reduce the life of the bouquet/display/arrangement. The cooler the room the longer the bouquet/display/arrangement will last;

6 Remove faded blooms of foliage as soon as possible;

7 To help prolong the life of the bouquet/display/arrangement the water and the flower food should be renewed as least twice a week.

 

CANCELLATION & HOLIDAYS

Orders may be amended or cancelled any time up to 24 hours prior to delivery (i.e. the receipt of the order by the recipient) except for all next day orders.

You are entitled to cancel any payment anytime where fraudulent use has been made of your credit or debit card by another person not acting on behalf of you or as your agent and to be re-credited by us to the extent that such sums are not reimbursed by the card issuer.

LIMITATION OF LIABILITY

Papersdirect is providing the Website to you on an “as is” and “as available” basis. Papersdirec does not provide any warranties in connection with the Website. Accordingly, to the maximum extent Papersdirect is permitted by law, Papersdirect, excludes all representations (except fraudulent representations), warranties, conditions and other terms (including without limitation the conditions implied by law of satisfactory quality, fitness for purpose and the use of reasonable care and skill) which but for this notice would have effect in relation to the Website. Papersdirect also excludes all responsibility for any amount or kind of loss or damage that may result to you or a third party as a result of providing the Content, including but not limited to loss or damage due to viruses of whatsoever nature that may infect your computer equipment, software, data or other property on account of your access to, use of, or browsing the Website or your downloading of any Content from the Website or any sites linked to the Website.

Papersdirect makes no warranty that (1) the Website will meet your requirements; (2) the Website will be uninterrupted, timely, secure or error free; or (3) any information that may be obtained from the use of the Website will be accurate or reliable.

Papersdirect and the officers, directors, employees, shareholders or agents of Papersdirect will not be liable in connection with the Website in any way (or in connection with the use of, performance of, or your browsing in, or your links to, other sites from the Website), for any loss or damages of any kind howsoever arising, including without limitation, any direct, indirect, punitive or consequential loss or damages or any loss of income, profits, goodwill, data, contracts and whether or not advised of the possibility of such damages and whether in delict (or tort) (including negligence), contract or otherwise.

Nothing in this legal notice, however, shall exclude or limit Papersdirect’s liability for fraud or for death or personal injury caused by its negligence.

COMMUNICATION VIA THE WEBSITE

You will not post or transmit any statement, material or content (for the avoidance of doubt this includes the message to be sent with your order) that is unlawful, obscene, indecent, libellous, pornographic, seditious, offensive, defamatory, threatening, abusive, liable to incite racial hatred, discriminatory, menacing, threatening, scandalous, blasphemous, in breach of confidence, in breach of privacy or that would be considered a criminal offence, give rise to civil liability, or otherwise be contrary to the law of, or infringe the rights of any third party enforceable in, any part of the United Kingdom, and for the European and/or elsewhere.

You must also not transmit any technically harmful postings or transmissions to or through the Website (and such shall include but not be limited to computer viruses, logic bombs, Trojan horses, worms, harmful components, corrupted data or other malicious software or harmful data) or engage in other practices of misuse (which shall include but not be limited to hacking).

Papersdirect will fully co-operate with any enforcement authority or court order requesting or directing Papersdirect to disclose the identity or locate anyone in breach of or allegedly in breach of any of the above.

CHANGES TO THE TERMS

Papersdirect reserves the right to make changes to any part of the Website due to its policy of updating and improving the Website. Papersdirect reserves the right to modify these Terms relating to the use of and access to the Website without prior notice. The amended Terms shall become effective immediately upon the posting of the amended Terms on the Website and use of the Website by you on or after any such effective date shall constitute acceptance of such amended Terms.

INTELLECTUAL PROPERTY

The phrase “Intellectual Property” means all copyright, know-how, confidential information, technical information, trade secrets, business names, trade marks, service marks, business or trade names, patents, utility models, design rights (whether registrable or otherwise), semi-conductor topography rights, database rights, all rights in the nature of unfair competition rights or rights to sue for passing-off and any other intellectual property rights whether registered or unregistered or any application therefor subsisting anywhere in the world from time to time or any other property.

Unless stated otherwise, all the Intellectual Property which exists in the Website or the Content is owned or licensed by Papersdirect.

Subject to the “Use of the Website and Content” section, nothing contained on the Website should be construed as granting, by implication, or otherwise, any licence or right to use any of Papersdirect’s Intellectual Property displayed on the Website without the prior written permission of Papersdirect.

UNAFFILIATED PRODUCTS AND WEBSITES

Descriptions of, or references to, third party products, publications or third party websites not owned by Papersdirect does not imply any form of endorsement of that third party product, publication or website.

Papersdirect has not reviewed the content on websites other than the Website and is not responsible for it. Papersdirect disclaims responsibility for all representations made or implied in relation to products, publications or websites not owned or wholly controlled by Papersdirect. Linking by you to any third party website is at your own risk and you acknowledge and agree that Papersdirect shall not be responsible or liable, directly or indirectly for any damage or loss caused by or in connection with use of or reliance on any material displayed on a third party website not under Papersdirect's ownership or complete control.

GOVERNING LAW

The Website and the Content, and your use of the Website, shall be governed by and is subject to the laws of Scotland and any dispute shall be dealt with under the non-exclusive jurisdiction of the Scottish Courts.

GENERAL

If any provision of the Terms is found to be invalid the validity of that provision shall not affect the validity of the remaining provisions of the Terms which shall remain in full force and effect.

If Papersdirect fails to exercise any right or remedy available under the Terms such failure does not constitute a waiver of that right or remedy.
